The purpose of these General Conditions of Use is to set out the terms and conditions for the provision of CodeNekt services and in particular the conditions for the provision, access and use by users (the User) of CodeNekt services when browsing its website www.CodeNekt.com (the Site) and the use of its mobile application (the Application).

CodeNekt, a simplified joint-stock company with a single shareholder and capital of 49,392 euros, domiciled at 230 route des Dolines, 06560 Valbonne – FRANCE.

CodeNekt offers an application that allows users to store information related to their vehicle: registration document, insurance, and maintenance history. The CodeNekt application also connects users with automotive service providers. The entire CodeNekt service is secure and respectful of the information and personal data that the user entrusts to it. The user is responsible for the data they collect, communicate, transmit, or share via the application.

Any use of the application and any access to the website are subject to prior acknowledgement and acceptance of these General Terms of Use.

Access to and use of the application and the website are deemed to constitute unconditional acceptance of these General Terms of Use. Access to and use of the Website and the Application are reserved for natural persons only.

Definitions

Application: the CodeNekt application, its content, services, and features, in the version downloaded by the User and any updates thereto;

T&Cs: these General Terms of Use;

Personal Data: all data that can identify the User or make them identifiable (including their last name, first name, email address, telephone numbers, address, vehicle registration document, etc.);

Site : refers to the website www.Codenekt.com from the company CodeNekt;

Services: Refers to CodeNekt’s services;

User: Refers to any natural person, of legal age and of legal capacity, using the Site and the Application under their sole responsibility and in accordance with the Terms and Conditions;

Partners: Refers to any natural person or legal entity that has entered into a partnership with CodeNekt SAS;

Application Description

CodeNekt is an application that allows the user to store information related to their vehicle online: registration document, insurance, and maintenance history. The CodeNekt application also connects the user with automotive service providers. The user’s loyalty is rewarded with points that can be converted into discounts with CodeNekt’s partner service providers.

The features offered by the Site and the Application are subject to the terms of use set out in these Terms and Conditions.

Downloading the Application

The current version of the Application is free. Updates and options may then be offered to the User, free of charge or for a fee.

Partners and Third-Party Tools

The customer agrees to comply with CodeNekt’s general terms and conditions as well as the general terms and conditions of third-party services or partners that enable access to the CodeNekt website and the CodeNekt mobile application.

The collection and processing of personal data may be induced by the use of third-party platforms or services.

CodeNekt is not responsible for the processing and use of this data, which only concerns the third-party platform or service.

Services

The current versions of the Website and Application offer the following services to the User:

Storing all documents relating to their vehicle (maintenance or repair invoices, photos, etc.);
Providing information about their vehicle’s history (tire invoices, brake invoices, service reports, technical inspection reports, insurance contracts, etc.);
Allow, at the User’s request, the sharing, consultation, and use of certain data related to their vehicle’s history with other Users;
Receive notifications of upcoming technical and administrative deadlines;
Benefit from offers, vouchers, and discounts (CodeNekt) from CodeNekt partners;
Benefit from service offers from CodeNekt partners for vehicle maintenance (technical inspections, repairs, etc.);
Benefit from insurance contract quotes from CodeNekt partners;

Use of the Application

Use of the Application is free and reserved for adults and legal persons.

To use the Application, the User must create a User account by providing their username and email address and accepting the General Terms of Use.

Once this information has been provided, CodeNekt will send the User an email to the email address provided by the User, allowing them to finalize their registration.

The User can complete their profile by adding their full address and telephone numbers, and by archiving their personal documents (driver’s license, registration document, insurance certificate).

User ID and Password

Access to the Application is secured by a unique user ID, which is the User’s email address, and a password chosen by the User, which is personal and non-transferable.

The User is recommended to:

Choose a complex password that includes numbers, uppercase and lowercase letters, and punctuation marks;
Change their password regularly; Avoid simple passwords such as a date of birth, a child’s first name, etc.

Any connection or data transmission made using the User’s username and password will be deemed to have been made by the User.

Any loss, misappropriation, or unauthorized use of the username and/or password and their consequences are the sole responsibility of the User.

The User may request a new password at any time via the “forgotten password” section.

If the username and/or password are fraudulently used or lost, the User must immediately notify CodeNekt by writing to: sav@codenekt.com so that the username and/or password can be immediately cancelled and/or the password changed upon proof of identity.

Access to the Application will then be made inaccessible, and a new password will be generated and communicated to the User within a reasonable time.

User Obligations

The User agrees to comply with the Terms of Use. Generally speaking, and without this list being considered exhaustive, the User is prohibited from:

Using the Application for

conditions or terms that would result in the violation of legal provisions, contractual commitments, or constitute fraud;
Download, reproduce, record, copy, compile, decompile, share with a third party, or exploit, by any process or means, the content of the Application and the results of its use;
Hinder or disrupt the operation of the Application, servers, or networks connected to the Application, or refuse to comply with the required conditions, procedures, general rules, or regulatory provisions applicable to networks connected to the Application;
Attempt to mislead other users by usurping the name or business name of other people, and more specifically by pretending to be an employee or partner of CodeNekt, or a moderator or host; Post, distribute, or use on or from the Application content that infringes the rights of third parties, and in particular intellectual property rights (trademark, copyright, and designs in particular), personal rights (including identity theft, defamation, insults, abuse, denigration, harassment, etc.), privacy (including image rights), public order and morality (including incitement to racial hatred, attacks on human dignity, etc.), and, more generally, applicable regulations and customary rules of politeness and courtesy.

By using the Application to collect, record, access, and share data concerning themselves or third parties, including Personal Data, the User agrees not to infringe the rights of third parties or to violate any contractual commitments or obligations incumbent upon them. The User guarantees CodeNekt against any claim, action, and/or demand from other users or third parties regarding their use of the Application.

Accessibility and Technical Support

The Application is provided to the User on an “as is” basis and is accessible according to its availability. It is generally accessible 24/7, except in cases of force majeure or an event beyond CodeNekt’s control, and subject to maintenance periods and possible outages.

CodeNekt reserves the right to make changes to the Application and/or to modify or remove all or part of the Application’s services and features after first informing the User via a message accessible on the Application.

CodeNekt’s Liability

CodeNekt is only bound by an obligation of means regarding accessibility to the Application. CodeNekt shall not be liable under any circumstances for any service interruptions or any resulting consequences for the User.

Use of the Application and its results is the sole responsibility of the User.

Intellectual Property

All elements and content of the Application, and in particular the graphics, visuals, logos, content, names, trademarks, and domain names, as well as the database, are the exclusive property of CodeNekt and may not be reproduced, used, or represented without the prior written consent of CodeNekt, including to create derivative works, under penalty of legal action. The content of the Application may not be copied, altered, pirated, downloaded, distributed, compiled, reproduced, imitated, decompiled, rented, or sold in any way whatsoever without the prior written consent of CodeNekt.

Any infringement of CodeNekt’s intellectual property rights will result in legal action.

Hyperlinks

Hyperlinks contained or offered in the Application may lead to websites or other internet sources.

Since CodeNekt cannot control these websites or external sources, it cannot be held responsible for the availability of these elements and their content.

Termination

The User acknowledges that CodeNekt has the right to terminate all or part of the access rights corresponding to their account, or even to delete their account and password, if CodeNekt has reasonable grounds to believe that the User has violated or acted in contradiction with the Terms of Use, in the event of a judicial requisition or enforceable court decision.

CodeNekt may also unilaterally, at any time and after having previously informed the User, interrupt the provision of all or part of the Application and its services without compensation of any kind.

Termination of the User’s account will not entitle the User to any compensation.

Modifications to the Terms

The Terms may be modified at any time by CodeNekt.

Modifications will take effect upon their posting on the Application.

No Implied Waiver – Severability of Clauses

The fact that CodeNekt has not required the application of any clause of the Terms shall in no case be considered a waiver by CodeNekt of the rights arising from said clause or a waiver of the right to enforce any other clause herein.

In the event that any clause of the T&Cs is declared null and void, deemed unwritten, or invalid by a final court decision, this clause shall be deemed severable from the other clauses of the T&Cs and shall in no way affect their validity.

Applicable Law and Disputes

These T&Cs are governed by French law.

The User agrees that any dispute relating to the interpretation and/or execution of these T&Cs shall, to the extent possible, be settled through amicable negotiations. Failing this, and within the limits of applicable law, any potential dispute shall be submitted to the competent courts.
